1. Acceptance of Terms
By accessing or using Koan (koan.nyx-intelligence.com), operated by Nyx Intelligence, the trading name of Arthur Dimeglio, a sole proprietor (entrepreneur individuel) registered in France ("Nyx Intelligence", "we"), you agree to be bound by these Terms of Service. If you do not agree, do not use Koan.
2. What Koan Is
Koan is an AI inbox agent that triages incoming messages, drafts replies in your voice, and follows up so you capture revenue you would otherwise leave on the table.
- Triages and categorizes inbound messages across the inboxes you connect
- Drafts replies in your brand voice for your review
- Schedules and sends follow-ups where you enable it
- Surfaces revenue opportunities and conversations that need attention
3. Accounts
You must create an account to use Koan. You are responsible for all activity under your account and for keeping your credentials secure. You must provide accurate information and be at least 16 years old.
4. Subscriptions & Billing
- Paid plans are billed in advance on a recurring basis (monthly or annual) via Stripe.
- Subscriptions renew automatically until cancelled. You can cancel at any time; access continues until the end of the current billing period.
- Except where required by law, fees already paid are non-refundable.
- We may change pricing with reasonable prior notice; changes apply to the next billing period.
5. Acceptable Use
You agree NOT to:
- Use Koan in violation of any applicable law or regulation
- Use Koan to plan, facilitate, or support any act of violence, harassment, or illegal activity
- Scrape, crawl, or automatically extract content beyond published API rate limits
- Attempt to reverse-engineer the agent or its underlying models and algorithms
- Redistribute, resell, or sublicense Koan outputs or data without written authorization
- Send spam, deceptive, or unsolicited bulk messages
- Contact people who have not consented, or otherwise act in violation of anti-spam laws (e.g. GDPR, CAN-SPAM)
6. AI Outputs & No Professional Advice
Koan generates automated outputs that may contain errors, omissions, or delays. Outputs are provided for information only and are not professional advice.
Koan drafts and, where you enable it, sends messages on your behalf. You remain responsible for what is sent from your accounts and should review drafts before sending where your plan offers it. Koan does not guarantee any particular response rate or revenue outcome.
7. Third-Party Platforms
Koan connects to third-party email and messaging providers using credentials or tokens you authorize. Your use of those providers is governed by their own terms; they may change their APIs or revoke access at any time. We are not responsible for their availability, accuracy, or actions.
8. Intellectual Property
All proprietary content, including Koan, its prompts, models, UI design, and visualizations, is owned by Nyx Intelligence. Content you provide or connect remains yours; you grant us a limited licence to process it solely to operate the service for you. Outputs generated for you are yours to use, subject to these Terms and any third-party platform rules.
9. Privacy
Your use of Koan is also governed by our Privacy Policy.
10. Disclaimer of Warranties
Koan is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, Nyx Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Koan, including loss of profits, data, or business opportunities. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim.
12. Termination
You may stop using Koan and close your account at any time. We may suspend or terminate access for breach of these Terms or to comply with the law. On termination, your data is handled as described in the Privacy Policy.
13. Governing Law
These Terms are governed by French law. Any dispute relating to them shall be submitted to the competent French courts, without prejudice to mandatory consumer-protection rules of your country of residence.
14. Changes to Terms
We reserve the right to modify these Terms. Material changes will be notified in-app or by email; continued use after changes constitutes acceptance of the modified Terms.
